Whispy.com and each of it's Independent Channels for your personal
enlightenment, entertainment, information, education and communication. You may
only download material displayed on the Site for non-commercial, personal use
provided you also retain all copyright, trademark and other proprietary notices
contained in the material. It is strictly prohibited to modify, transmit,
distribute, reuse, re-post, "frame" or use the content of the Site for public or
commercial purposes including the text, images, audio and/or video without Your
True Nature, Productions written permission. Please read carefully the

Acceptable Use Policy
1. INTRODUCTION
Whispy.com (“Whispy.com”) an Your True Nature Productions reserves the
right at all times to prohibit activities that may damage its
commercial reputation and goodwill, or that of its participating
members. Whispy.com is committed to being a responsible
network citizen, and protecting the usefulness and enjoyment of the
Internet for our participating sites and for their members. The
provisions of this policy are intended as guidelines and are not meant
to be exhaustive. As such, all conduct that violates law, regulation,
or the accepted norms of the Internet community, whether or not
expressly mentioned in this Policy, is prohibited.
This Acceptable Use Policy ("AUP"), in conjunction with our
TERMS OF SERVICE, below, outlines our policies on
website, community, email and
network abuse, and is intended to help enhance the use of our services
by preventing unacceptable direct or indirect use of our website and
commercial infrastructure capabilities. All recipients of Whispy.com's
Internet based services (the "Services"), including all participating
commercial sites (the “Whispy.com Participants”), and those persons
who access some of our Services via participating sites but do not
have member accounts or a direct commercial relationship with Whispy.com, as well as those
individuals who have accounts with Whispy.com Participant sites and access the
services available to such members via our
Live Advice Network,
Whispy
Work!,
The Cultural Creative Directory,
Whispy Dating or our
Whispy Community (collectively, "Members"), must comply with this AUP and the
Email Policy. In respect of our Whispy.com Participants, this AUP and the
Email Policy should be read in conjunction with our terms of service
agreements and other policies.
We support the free flow of information and ideas over the Internet,
and do not actively monitor the activities of Whispy.com Participants or
Members except as they pertain to the provision of or enjoyment of the
Services under normal circumstances. Similarly, we do not exercise
editorial control over the content of Whispy.com Participant’s other Web sites
not administered in conjunction with the Whispy.com, or
their conduct or participation in electronic mail transmission, or
other material created or accessible over or through their other
activities, except as such activities may impact upon the provision of
and enjoyment of the Services by all Whispy.com Participants and Members.
However, all Whispy.com Participants shall be obligated to ensure that third
parties conducting activities on their behalf shall adhere to the
requirement of this AUP and Email Policy.
In the event of a breach of this AUP or the Email Policy by Whispy.com
Participants, Members or persons conducting activities on their
behalf, this shall be deemed to constitute violations of the terms of
service agreements, which may result in the loss of all or a portion
of your access to our Services.
2. VIOLATIONS OF Whispy.com's ACCEPTABLE USE POLICY
The following constitute violations of this AUP:
- Illegal use. Using the Services to transmit any material or
content, or conduct or assist in the conduct of any activities (by
email, uploading or otherwise) that, intentionally or
unintentionally, violates any applicable local, provincial, state,
national or international law, or any rules or regulations
promulgated thereunder.
- Harm to minors. Using the Services to access, contact, identify
or interact with, or attempt to do so, or otherwise harm, or attempt
to harm, minors in any way.
- Threats. Using the Services to transmit any material (by email,
uploading or otherwise) that threatens or encourages bodily harm or
destruction of property.
- Harassment. Using the Services to transmit any material (by
email, uploading or otherwise) that harasses another.
- Fraudulent activity. Using the Services to make fraudulent
offers to sell or buy products, items, or services or to advance any
type of financial scam such as "pyramid schemes," "Ponzi schemes,"
and "chain letters."
- Forgery or impersonation. Adding, removing or modifying
identifying network header information in an effort to deceive or
mislead is prohibited. Attempting to impersonate any person or
company by using forged headers or other identifying information is
prohibited.
- Improper Use of Facilities. Using Whispy.com’s
resources in a manner not authorized by its administrators is
strictly forbidden. This includes access of commercial information
by Whispy.com Participants for improper purposes, transmitting mail to
Members contrary to Whispy.com’s policies or the Whispy.com
Participant service agreements.
- Unsolicited commercial email/Unsolicited bulk email. Using the
Whispy.com’s resources or the Services to transmit any
unsolicited commercial email or unsolicited bulk email. Activities
that have the effect of facilitating unsolicited commercial email or
unsolicited bulk email whether or not that email is commercial in
nature, are prohibited.
- Unauthorized access. Using the Services to access, or to attempt
to access, the accounts of others, or to penetrate, or attempt to
penetrate, security measures of Whispy.com's or another
entity's computer software or hardware, electronic communications
system, or telecommunications system, whether or not the intrusion
results in the corruption or loss of data.
- Copyright or trademark infringement. Using the Services to
transmit or assist in the transmission of any material (by email,
uploading or otherwise) that infringes any copyright, trademark,
patent, trade secret, or other proprietary rights of any third
party, including, but not limited to, the unauthorized copying of
copyrighted material, the digitization and distribution of
photographs from magazines, books, or other copyrighted sources, and
the unauthorized transmittal of copyrighted software.
- Collection of personal data. Using the Services to collect, or
attempt to collect, personal information about Members or other
third parties without their knowledge or express consent. Whispy.com
Participants will not harvest or collect personal information about
their Members or other Whispy.com Participants’ Members, whether or not for
commercial purposes, without their express consent.
- No interference. Interfering with or disrupting the Services or
the servers or other networks connected to or supported by the
Services or site. No party will distribute or in any manner
originate, disseminate, email or otherwise transmit any material
that contains software viruses or any other computer code, files or
programs designed to modify, interfere with, interrupt, destroy or
limit the functionality of any computer software or hardware or
telecommunications equipment (whether on a temporary or permanent
basis, and whether in a destructive or benign manner). Such
activities shall be deemed to include the addition of a “favorite”
to a Member’s browser, or any other like modification of the browser
settings or functionality.
- Network disruptions and unfriendly activity. Using the Services
for any activity which adversely affects the ability of other people
or systems to use Whispy.com's Services or the Internet.
This includes "denial of service" (“DoS”) attacks. Interference with
or disruption of other networks, network services, administration
services or network equipment is strictly prohibited.
3.REPORTING VIOLATIONS OF Whispy.com's AUP
Whispy.com requests that anyone who believes that there is
a violation of this AUP or Email Policy direct the information to
Director-Abuse Department, at:
abuse@whispy.com.
If available, please provide the following information:
- The IP address used to commit the alleged violation;
- The date and time of the alleged violation, including the time
zone or offset from CST; and
- Evidence of the alleged violation
Email with full header information provides all of the above, as do
syslog files. Other situations will require different methods of
providing the above information. Whispy.com may, in its
sole discretion, take any one or more of the following actions in
response to complaints:
- issue warnings: written or verbal;
- fine the Whispy.com Participant or Member, with fines increasing with
each subsequent breach;
- suspend the Whispy.com Participant's or Member’s account;
- terminate the Whispy.com Participant's or Member’s account;
- bill the Whispy.com Participant or Member for administrative and
services costs and/or reactivation charges; or
- bring legal action to enjoin violations and/or to collect
damages, if any, caused by violations.
In the event that numerous complaints are received by our staff in
regards to any breaches of this AUP or Email Policy, at the discretion
of Whispy.com, a processing fee per complaint received in
addition to an administration or service fee may be imposed.
Whispy.com does not issue compensation or credits for any
outages incurred through service disablement resulting from Policy
violations.
Also, violation of this AUP or Email Policy may result in criminal and
civil liability.
4. REVISIONS TO THIS ACCEPTABLE USE POLICY
Whispy.com reserves the right to revise, amend, or modify
this AUP or the Email Policy, our Internet Service Agreement and our
other policies and agreements at any time and in any manner. Notice of
any revision, amendment, or modification will be posted on our
website, and shall be deemed to be effective upon such posting
(without the requirement to bring the existence of a change or the
content of the specific changes to the attention of the RE
Participants or the Members). If you have any questions about the
Whispy.com AUP or the Email Policy, do not hesitate to

TERMS OF SERVICE
1. The Whispy.com Web Site
1.1 By using the web site at whispy.com (the "Web
Site") you will be bound by these terms and conditions ("Terms and Conditions")
and the privacy policy ("Privacy
Policy") (together "this Agreement"). As from July 2003, the definition of “Web
Site” in these terms and conditions has been expanded to cover use of any associated services.
1.2 You should read carefully and understand this Agreement
before clicking on the button at the end of these Terms and Conditions or
registering with or using the Web Site. If you do not agree to this Agreement
you must not use the Web Site.
1.3 You may only use this Web Site if you are over 18 years
old and can form a legally binding contract under the laws of US.
1.4 This Web Site and any contract related to it is governed
by the laws of the United States. However this does not prevent you from using
or registering with us if you are based outside the US provided that
there is nothing in your local law that would override any of these terms.
1.6 Whispy.com makes no representation, warranty,
condition or other term, that the Web Site or any link, service or advertisement
referred to in the Web Site are available for use outside the US.
1.7 You agree to abide by all applicable local, state,
national and international laws and regulations in the use of the Web Site.
1.8 In the event of any inconsistency between this Agreement
and any binding mandatory statutory consumer rights then the terms of those
rights shall apply but only to the extent of that inconsistency.

2. Charges For Use Of The Web Site And It's Services
2.1 There is free access to most parts of the website, but access to
some
Whispy Dating! functions and
Whispy Work Service Providers is subject to subscription/payment charges, see clause 2.2
below.
2.2 Details of current charges for the website and it's different services are listed on
the corresponding services' page.
2.3 Should you wish to use the pages listed in clause 2.2
you agree to complete the subscription/payment form on these pages and make payment by
check or credit card.
2.4 Community Membership fees are only refundable at the discretion of
the company management.
2.5 Psychic Readings/Personal Consultations
by phone and email with Lilly -
There will be no refunds for these services, however if there are delays of
these services, appointments will be rescheduled as soon as possible, and
extra consultation time will be added at the time of the rescheduled consultation.

3. Accurate User Information
3.1 You agree to provide true, accurate, current and
complete information about yourself when you complete the registration and/or
subscription form.
3.2 You agree to maintain and update this information to
keep it true, accurate, current and complete.
3.3 If any information about you which you provide,
including photographs, is untrue, inaccurate, obsolete or incomplete, Whispy.com has the right to terminate your account and refuse any and all current or
future use of the Web Site.

4. Privacy Of Information Provided
4.1 Whispy.com will keep confidential all information
given by or about you which is not considered public information, including but
not limited to information provided during the registration process and e-mail
communications transmitted through the Web Site.
4.2 Whispy.com will not disclose such information to any
third parties without your consent, except that you agree Whispy.com may do so
if such information is already in the public domain, is required to be disclosed
by law, by a governmental agency or to protect the interests of Whispy.com or
its members or where there have been substantial and serious breaches of the
terms and conditions.
4.3 Clauses 4.1 and 4.2 do not apply where you have given
your consent for such information to be used by Whispy.com for particular
purposes. In such circumstances the information will only be used for those
purposes for which your consent is given.
4.4 You understand and agree that Whispy.com and its
agents and contractors may access the content of your account in order to
identify and resolve technical problems or service complaints.
4.5 Emails sent internally through the Whispy.com website
may be routinely monitored to ensure the service is being used in accordance
with the Terms and Conditions.
4.6 Whispy.com works with agents, contractors and
suppliers both in the US and other countries to maintain and develop the site.
We will oblige such third parties not to pass your personal data to any other
party nor to use the data for any purpose except that specifically stated by
Whispy.com.

5. Changes To The Web Site And The Agreement
5.1 Whispy.com may need to modify, discontinue or suspend
temporarily or permanently, the Web Site without notice but shall where
reasonably practicable, give reasonable notice of its intention to do so.
5.2 Your continued use of the Web Site after having received
notice of changes to the Web Site will constitute your acceptance of any such
changes.
5.3 Whispy.com may need to amend and alter this Agreement
for valid business and/or technical reasons. In such circumstances Whispy.com
will post the amended Terms and Conditions and/or Privacy Policy on the Web Site
and they will come into force immediately.
5.4 If you do not accept the amendments you have the right
to terminate any agreement you may have with Whispy.com and you should stop
using the Web Site.
5.5 You may not alter this Agreement without the express
written agreement of Whispy.com.

6. User Undertakings
6.1 You agree:
- (a) not to use the Web Site for unlawful purposes;
- (b) not to interfere with or disrupt the Web Site or
servers or networks connected to the Web Site;
- (c) to comply with all requirements, procedures, policies
and regulations of networks connected to the Web Site;
- (d) not to publish on the Web Site, or send to any other
member, any harassing, libelous, privacy invading, abusive, threatening,
harmful, vulgar, obscene, tortuous, sexual, sexually suggestive, offensive,
anatomical, racist or otherwise objectionable messages to other users in any
communications on or off the website;
- (e) not to use the Web Site in a manner or for a purpose
that violates the rights of another, including but not limited to the
intellectual property rights of another;
- (f) not to gain or attempt to gain unauthorized access to
other computer systems or networks connected to the Web Site;
- (g) not to use the Web Site in a manner that may transmit
any matter containing a virus, corrupted file, "Trojan Horse" or other hostile
program or software;
- (h) not to transmit "junk mail", "spam", "chain letters",
or unsolicited mass distribution of marketing or other materials or
communications including (without limitation) those connected to pyramid
selling schemes; not to use the internal mailing system, the discussion boards
or the profile forms or any other part of the site to promote events,
charities, businesses, or services or to make financial requests.
- (i) not to interfere with the use and enjoyment of the
Web Site by other users; anybody who uses the internal mailing system in a way
that is or could be construed as abusive or annoying to other members or sends
out mails with the same or similar content to more than one person in quick
succession or whose behavior on or off the site has resulted in a complaint
or a mail block, or might reasonably give rise to a complaint by another
member may be removed from the site at the absolute discretion of Whispy.com. Anybody giving cause for a complaint by any other member, or who has
been blocked by another member, or whose behavior might reasonably give rise
to a complaint may be removed from the site.
- (j) not to resell, rent or hire any content of the Web
Site or use of or access to the Web Site;
- (k) not to impersonate any other person, including but
not limited to any other member of Whispy.com or employee of Whispy.com,
while using the Web Site.
- (l) not to attack or undermine the traditions or beliefs
of any person via the Web Site, whether directly or indirectly.
- (m) not to take out additional or duplicate memberships,
whether Profile, Full or Trial. Trial members whose memberships have expired
are not permitted to rejoin as Trial members.
- (n) to reply promptly and courteously to mail received
from other members.
- (o) not to divulge any personal or confidential
information about other members of the site, past or present.
6.2 You agree not to include in your public profile any
telephone numbers, street addresses, last names, urls, e-mail addresses, any
information that would enable people to contact you outside the site, offensive
anatomical or sexual references or offensive sexually suggestive language. You
also agree not to post any photos containing nudity or otherwise offensive
material in any areas on the Web Site that are accessible to the public or Whispy.com's membership. Whispy.com reserves the right, but has no obligation, to
reject or remove any post, profile or photo that does not comply with the letter or
spirit of the Terms and Conditions.
6.3 You agree not to copy or reproduce in any form in whole
or in part anything published on the Web Site.

7. Termination
7.1 Either party may terminate this Agreement at any time
for any reason at all.
7.2 Without prejudice to any remedy that Whispy.com may
have against you, Whispy.com may terminate or suspend (without liability to
you) with immediate effect and without notice your access to, and use of the Web
Site and delete files in your account if Whispy.com:
- (a) reasonably believes that you have breached any of the
terms of this Agreement;
- (b) is unable to determine the accuracy or validity of
any information provided by you;
- (c) suspects fraudulent, abusive or illegal activity;
- (d) for any other business or technical reason.
7.3 If you breach any of these terms and conditions Whispy.com may refuse you entry to the Web Site and terminate any account you have
with Whispy.com and reserves the right to keep any subscription fee you have
paid.
7.4 Whispy.com may also suspend or terminate your
membership if it has been terminated or suspended by any other site owned or
operated by Your True Nature Productions. Whispy.com also reserves the right to
terminate somebody who has breached terms and conditions of any other
matchmaking website.
7.5 Should you object to any of the terms of this Agreement,
or any subsequent changes to this Agreement or the Web Site, or become
dissatisfied with the Web Site in any way, you may terminate this Agreement and
notify Whispy.com of termination by sending an e-mail to
Whispy.com.

8. Dealings With Third Parties
8.1 Whispy.com is not an agent of any third party named or
linked to the Web Site or any registered or non-registered user of the Web Site
("Third Party") and does not have authority to act for any Third Parties. You
agree that Whispy.com (to the maximum extent permitted by applicable law)
shall have no liability to you in relation to any dispute which you may have
with a Third Party.
8.2 Whispy.com does not control any information provided
by Third Parties which is made available on the Web Site.
8.3 Your correspondence, transactions or other dealings with
Third Parties available on or linked through the Web Site, including but not
limited to payment and delivery of related goods or services, and any other
terms, conditions, warranties or representations associated with such dealings,
are solely between you and such Third Parties.
8.4 Anything you publish on the Web Site, including but not
limited to e-mails sent via the Web Site and photographs of you is done so at
your own risk.
8.5 Whispy.com does not monitor what Third Parties publish
on the Web Site.
8.6 Whispy.com does not endorse and is not responsible or
liable for any content, advertising, products, or other materials on or
available from such parties or resources.
8.7 You agree not to hold Whispy.com liable for any loss
or damage of any sort incurred as a result of: the presence, availability or
non-availability of the Third Parties on or through the Web Site; any dealings
with such parties, including but not limited to attendance at events advertised;
or purchase or use of goods or services offered on or through the Web Site.

9. Storage
Whispy.com shall not be responsible for storing any information or
materials on your behalf. You are advised to maintain any backup copies of all
information that you wish to preserve.

10. Proprietary Rights
10.1 You acknowledge and agree that content and information,
including but not limited to text, software, music, sound, photographs,
graphics, video, or other material contained in sponsor advertisements or
information presented to you by Whispy.com, its partners or advertisers, is
protected by copyrights, trademarks, service marks, patents, or other
proprietary rights and laws.
10.2 You acknowledge and agree that you are permitted to use
this material and information for your personal, non-commercial use or as
expressly authorized by Whispy.com, its partners or advertisers, and may not
copy, reproduce, transmit, distribute, or create derivative works of such
content or information without express authorization from its author.
10.3 You acknowledge and agree that any material you post on
any area on the Web Site that is accessible to the public will be treated as
non-confidential and non-proprietary and Whispy.com may use such material in
any medium for any purpose, including but not limited to the reproduction,
disclosure, transmission, publication, broadcast and posting of such material in
advertising and promotions.
10.4 Whispy.com owns all copyright and other intellectual
property rights of whatever nature in the Web Site.
10.5 You confirm that you are the author of any photographs
you provide to Whispy.com and that you own the copyright in such photographs.
You assign all copyright and any other intellectual property rights in the
photographs. You agree to indemnify Whispy.com for any claim brought against
Whispy.com for intellectual property right infringement and/or passing off.

11. Warranties
11.1 Whispy.com cannot guarantee the functionality of the
Web Site or that the Web Site will be uninterrupted, timely, secure, or error
free and provides the Web Site on an 'as is' basis.
11.2 Whispy.com makes no warranty as to the results that
may be obtained from the use of the Web Site, and as to the accuracy or
reliability of any information obtained through the Web Site.

12. Limitation Of Liability
12.1 Whispy.com accepts unlimited liability in respect of
death or personal injury caused by its negligence and such other liability which
cannot be excluded by law.
12.2 Subject to clause 12.1 you agree that Whispy.com
shall not be liable for loss of profit, revenue or business or contracts or
indirect or consequential loss however arising, including negligence even if
such loss or damage was foreseeable and/or brought to the attention of Whispy.com.
12.3 Subject to clause 12.1 and 12.2 above, the total
aggregate liability arising out of any claim in contract, negligence, tort (or
other legal liability) pursuant to these terms and conditions shall not in any
circumstances exceed [$500].
12.4 The exclusions and limitations contained in clauses 11
and 12 shall each be construed separately. If any provision is found by a court
to be unenforceable or void then the remaining provisions shall remain in full
force and effect.
12.5 Whispy.com has no control over third party content
and information which can be accessed using the Website. Whispy.com is
excluded from all liability of any kind arising from such content or
information. Except for death or personal injury arising from our negligence,
Whispy.com shall not be liable whatsoever for any loss or damage arising from
use of the Website.

13. Indemnity
13.1 You agree to indemnify and hold Whispy.com and its
parents, subsidiaries, affiliates, officers and employees, harmless from any
loss, cost, damage, claim or demand, including reasonable legal fees, made by
any third party or incurred or suffered by Whispy.com or its parents,
subsidiaries, affiliates, officers and employees arising from a breach of this
Agreement, the content you transmit to or through the Web Site, as well as your
conduct on or arising from your use thereof.
13.2 In the event that Whispy.com is entitled to be
indemnified by you pursuant to clause 13.1 and/or you are in breach of this
Agreement you agree that Whispy.com may contact you through the information
provided to Whispy.com by you.

14. Notice
Any notice to Whispy.com can be made via email to

15. General
15.1 This Agreement and the relationship between you and
Whispy.com shall be governed by the laws of the US. You agree to
submit to the exclusive jurisdiction of the courts of the United States.
15.2 If Whispy.com fails to exercise or enforce a right
under this Agreement, that failure shall not constitute a waiver of such right
or provision.
15.3 If any provision of this Agreement is found by a court
of competent jurisdiction to be invalid, that provision shall be deemed severed
and the validity and enforceability of the remaining provisions of this
Agreement shall not be affected. The parties nevertheless agree that the court
should endeavor to give effect to the parties' intentions as reflected in the
relevant provision.
15.4 Neither party shall be liable for any breach of this
Agreement due to any cause beyond its reasonable control.
15.5 You must report any violations of this Agreement by any
Third Party to Whispy.com at

granting by implication or otherwise, any license or right to use any Trademark
displayed in the Site without the written permission of Your True Nature
Productions, or any third party that may own the Trademarks displayed on the
Site. Your misuse of the Trademarks displayed on the Site, or any other content
on the Site, is strictly prohibited. You are hereby also advised that Your True
Nature Productions will aggressively enforce its intellectual property rights to
the fullest extent of the law, including the seeking of criminal prosecution.

While Your True Nature Productions uses reasonable efforts to include accurate
and up-to-date information on Whispy.com, Your True Nature Productions makes no
warranties or representations as to its accuracy nor does Your True Nature
Productions assume any liability or responsibility for any errors in the content

DAMAGES and WARRANTIES
Your use of and browsing in the Site are at your own risk. Neither Your True
Nature Productions nor any other party involved in creating, producing or
delivering the Site is liable for any direct, incidental, consequential,
indirect or punitive damages arising out of your access to or use of the Site.

warranty of any kind, either express or implied, including but not limited to
